As Managing Counsel for Waymo, Alphabet’s self driving car business, you will be responsible for corporate matters to help drive our business forward.  You will work on varied and exciting legal issues related to self driving cars that require creative and proactive legal guidance. You will be part of an adaptable, dynamic and creative group of in-house lawyers, and the projects you take on will challenge you to think big and differently. You are collaborative - ready to partner in initiatives that influence all aspects of the business and work with teams from all over the company.  In this role, you will support our entire organization on the exciting legal issues surrounding our transformational autonomous vehicle technology and help drive our business lines forward from technology ideation through scaled commercial deployment.

In this role, you'll:

    • Assist with financings, acquisitions, investments and other corporate development transactions in all stages, including managing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration
    • Counsel on securities law compliance in the United States and all other applicable jurisdictions
    • Counsel on Board of Directors and other corporate governance matters for Waymo and its subsidiaries in the United States and all other applicable jurisdictions
    • Partner with Waymo’s Finance Team to support Waymo’s employee equity plans
    • Support Waymo’s Investor Relations Team in communicating with investors and fulfilling Waymo’s legal and contractual commitments to our investors
    • Serve as our Legal Team lead for foreign investment, including counseling on laws and regulations related to foreign investments, cross-border transactions, and trade restrictions
    • Work closely with Waymo’s executive team and senior leadership in supporting corporate transactions, securities law compliance, corporate governance, and investor relations

At a minimum we’d like you to have:

    • JD degree and State Bar admission in good standing (any U.S. jurisdiction)
    • 12+ years of  corporate law experience, with both in-house and top-tier law firm experience
    • Capability to be lead attorney on mergers and acquisitions and other strategic transactions, supporting all phases of deals
    • Direct knowledge and experience advising clients from fast-paced technology start-up companies on corporate fundraising, corporate development transactions, and corp governance
    • Ability to operate independently and work collaboratively and cross functionally with various teams across the organization
    • High level of professional integrity and ethics

It's preferred if you have:

    • Excellent analytical, communication and organizational skills, and demonstrated ability to manage several simultaneous projects under deadline pressure. Ability and interest in developing expertise in new, complex subject areas
    • Excellent management skills and business judgment with a capacity to make decisions and give reasoned, competent advice that demonstrates an understanding of overall business objectives and potential risks
    • Trade compliance experience
    • Experience in the autonomous vehicle industry
